| Initial public offering of 7,382,340* equity shares of face value of Rs. 10 each ("Equity Shares") of Mamata Machinery Limited (the "Company" or the "Issuer") for cash at a price of Rs. 243.00 per equity share ("Offer Price") aggregating to Rs. 179.35^ crores (the "Offer") comprising an offer for sale of 534,483* equity shares aggregating to Rs. 12.99^ crores by Mahendra Patel, 1,967,931* equity shares aggregating to Rs. 47.81^ crores by Nayana Patel, 1,227,042* equity shares aggregating to Rs. 29.81^ crores by Bhagvati Patel, 2,129,814* equity shares aggregating to Rs. 51.74^ crores by Mamata Group Corporate Services llp and 1,523,070* equity shares aggregating to Rs. 37.00^ crores by Mamata Management Services llp ("Selling Shareholders") (the "Offer for Sale"). The offer includes a reservation of 35,000* equity shares aggregating to Rs. 0.81^ crores (constituting 0.14% of the post offer paid-up equity share capital), for subscription by eligible employees (the "Employee Reservation Portion"). The offer less the employee reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer shall constitute 30.00%* and 29.86%*, respectively, of the post-offer paid-up equity share capital of the company. The company in consultation with the book running lead manager, offered a discount of Rs. 12.00 per equity share to the offer price to eligible employees bidding under the employee reservation portion ("Employee Discount"). The face value of the equity share is Rs. 10.00 each and the offer price is 24.30 times the face value of the equity shares. *Subject to finalisation of basis of allotment. ^Employee discount of Rs. 12.00 per equity share was offered to eligible employees bidding in the employee reservation portion. |
