Court order facilitates merger of Transferor Company into Transferee Company via Application No. 114/2026

A court order has paved the way for the amalgamation of a wholly-owned subsidiary into its parent company, streamlining the merger process under Company Application No. 114/2026. The scheme, involving the Transferor Company merging into the Transferee Company, does not necessitate the issuance of new shares or negatively impact creditors, leading the court to dispense with shareholder and creditor meetings of the Transferee Company, citing precedents like *Mahaamba Investments Limited*. While meetings are waived, the Transferee Company must still provide notice to shareholders, creditors, and regulatory bodies via various channels, allowing a 30-day period for objections. The Applicant Companies are also required to file details regarding corporate guarantees, pending legal cases, and letters of credit, and post the scheme on their website, followed by an affidavit of service within 10 working days.
